اعتمد مجلس هيئة السوق المالية السعودية تعديلات على قواعد طرح الأوراق المالية والالتزامات المستمرة، إلى جانب تحديث عدد من المصطلحات التنظيمية واستحداث إطار نظامي لشركات الاستحواذ ذات الأغراض الخاصة (SPAC)، على أن يبدأ العمل بهذه التعديلات اعتباراً من تاريخ نشرها.
وشملت التعديلات اعتماد النسخة المعدلة من قواعد طرح الأوراق المالية والالتزامات المستمرة، إلى جانب تعديل قائمة المصطلحات المستخدمة في لوائح الهيئة وقواعدها.
وأقرت الهيئة تعديل تعريف مصطلح «الراعي» ليشمل الجهة المرخص لها التي تتولى تأسيس شركة الاستحواذ ذات الأغراض الخاصة بهدف الاستحواذ على شركة سعودية غير مدرجة أو الاندماج معها، وفقاً لأحكام الباب الثامن من قواعد طرح الأوراق المالية والالتزامات المستمرة.
The Saudi Capital Market Authority Board has approved amendments to the rules for offering securities and continuous obligations, along with updating several regulatory terms and establishing a regulatory framework for Special Purpose Acquisition Companies (SPACs), with these amendments to take effect from the date of their publication.
The amendments included the adoption of the revised version of the rules for offering securities and continuous obligations, as well as modifying the list of terms used in the Authority’s regulations and rules.
The Authority approved the amendment of the definition of the term “sponsor” to include the licensed entity responsible for establishing the Special Purpose Acquisition Company with the aim of acquiring a non-listed Saudi company or merging with it, in accordance with the provisions of Chapter Eight of the rules for offering securities and continuous obligations.
